This Online Download Service is for a speedier application process, but still requires approval from the bank for a qualified application. It is the responsibility of the applicant who wishes to apply online to observe all securities laws and regulations.
You understand that LBC Development Bank is your bank of choice. You hereby consent and agree to the terms and conditions of LBC Development Bank as stated below.
1) Definition of Terms
- “LBC Bank”, “the bank”, “us”, “our” refers to the LBC Development Bank, a thrift-banking corporation organized and existing under the laws of the Philippines.
- “You”, “your” refers to the applicant of LBC Development Bank using the Online Download Service.
2) Legal Right
You hereby represent and warrant that you are of legal age and have full knowledge and power to execute, deliver and perform this Agreement and all necessary actions have been taken to authorize the execution, delivery and performance, and enforcement of the same.
3) Captions
The captions of sections hereof are for convenience only and shall not control or affect the meaning of the provisions of this Agreement.
4) Warranty of Information
You represent and warrant that all information provided by you in this Agreement are true, accurate and complete. In case of any change in said information, you shall immediately inform LBC Bank. You also authorize the bank to conduct such credit or background investigation to verify any information provided by you, and to ascertain your financial situation and paying capacity in case your application is approved.
5) Confidentiality
All information is between you and LBC Bank and shall mutually maintain in confidence and not disclose to any third party without the other party’s written consent any information concerning the terms and conditions of this Agreement. The bank will not disclose information to third parties about your account unless the bank receives a written permission from you or is required to be disclosed in accordance with law.
6) Governing Law
Regardless of where you live or work or where you access LBC Bank’s website, this Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines and its applicable rules and regulations that are in effect from time to time.
7) Notices
Any communication relating to or in connection with this Agreement shall require a formal written notice and may be delivered personally to the addresses and persons set forth at the beginning of this Agreement. All notices shall be effective upon receipt. LBC Bank should be immediately notified of changes in address, residency, status or any necessary information required for its records. In the event of your failure to notify the bank in writing of any change in your personal information, all communications shall be directed to your last known address appearing in our records. It is further agreed that all communications to such indicated address shall be conclusive on you as to their correctness, in the absence of any written objection from you within the applicable period of five (5) working days.
8) E-mail Communications
In case you need immediate assistance (e.g., to report an unauthorized transaction from your account) or your message is sensitive and confidential, you shall not use any e-mail system, but instead call LBC Bank or contact the bank in person. E-mail messages do not serve as a substitute for any requirement imposed to provide as “written” notice.
9) Links to Other Websites and Services
This site may include links to other internet sites maintained by third parties (“Linked Sites”). LBC Bank provides Linked Sites, solely for convenience but does not imply endorsement of the Linked Sites. Your access to Linked Sites is solely at your own risk and by accessing them the bank is not responsible for the contents of any Linked Site.
10) Assignment
Any assignment made by you without the express prior written consent of the Bank shall be void. In the event the Bank grants written consent to a proposed assignment of any of your rights and obligations hereunder, you shall still be liable under this Assignment until such time that your successor or assign in interest assumes in writing all your obligations and liabilities with respect to this Agreement.
11) No Liability
LBC Bank does not guarantee the sequence, accuracy or completeness of any information in its online download service, and shall not be liable in any way to you or to any other person who may use such information or to whom such information may be furnished, for any loss, damage or claim resulting from the use of the service, any delay or interruption in the service, inaccuracies, errors, or omissions therefrom, or in the transmission or delivery or any part thereof, or for any damage arising therefrom or occasioned thereby.
LBC Bank its directors, officers, employees, agents, representatives, suppliers, and contractors (all of the foregoing, collectively, the "Representatives") shall in no event be liable for any claim, charge, demand, damage, liability, loss, and expense of whatever nature including without limitation any compensatory, incidental, direct, indirect, special, punitive, or consequential damages, loss of use, loss of data, loss caused by a computer or electronic virus, loss of income or profit, loss of or damage to property, claims of third parties, or other losses of any kind or character, even if the bank has been advised of the possibility of such damages or losses, arising out of or in connection with the use of this website or any website with which it is linked. You shall assume total responsibility for establishing such procedures for data back up and virus checking.
12) Indemnification
You hereby agree to indemnify and hold harmless LBC Bank and the Representatives from and against any and all claims, charges, demands, damages, liabilities, losses, and expenses of whatever nature and howsoever arising (including but not limited to any legal or other professional fees and the costs of defending or prosecuting any claim and any loss of profit, goodwill, and any other direct or consequential loss) incurred or suffered by LBC Bank and the Representatives, directly or indirectly, by reason of any act or omission which you commit in breach of these terms and conditions (including but not limited to your obligations contained herein) and any other terms and conditions or policies set forth elsewhere in this website.
13) Severability
Should any provision of this Agreement be held invalid, illegal or unenforceable, that portion shall be construed consistent with applicable law as nearly as possible to reflect the original intent of the Agreement, and the remaining provisions contained herein shall not in any way be affected or impaired.
14) Force Majeure
Neither, you nor LBC Bank shall be liable for any delay or failure to perform any obligation, or for any loss caused directly or indirectly by any condition or circumstance resulting from acts beyond the reasonable control of such party. Such acts shall include, but not limited to, acts of God, strikes, walkouts, riots, strikes, theft, acts of war (whether declared or not), epidemics, failure of supplier to perform, power failures, severe weather, earthquakes, or other disasters, government restriction, exchange or market rulings, suspension of trading, failure of electronic or mechanical equipment or communication lines, telephone or other interconnection problems and unauthorized access.
15) Application and Termination
You also understand and agree that LBC Bank has the absolute right to refuse your application or to terminate, reject, or decline the same for whatever reason(s) it may deem appropriate, without any obligation to divulge and/or explain the said reason(s) to you. Upon termination of this Agreement, you shall immediately cease all use of the service and any information from the service.
16) Unauthorized Use
You acknowledge that the Online Download Service (including the software and other contents thereof) are proprietary of LBC Bank. You warrant and undertake that you shall not nor shall you attempt to, tamper with, modify, decompile, reverse engineer or otherwise alter in any way, or attempt to gain unauthorized access to, any part of the LBC Bank Online Download Service or website or any of the contents thereof. You also undertake to immediately notify LBC Bank if you become aware of any action described above being perpetrated by another person or entity and if any such action or proceeding is instituted by reason of such unauthorized use, you shall cooperate in all respects reasonably requested by the party maintaining such action.
17) No Waiver
The Bank shall not be deemed to have waived any of its rights or remedies unless such waiver is in writing and signed by the Bank. No delay or omission on the part of the Bank in exercising its right or remedies shall operate as a waiver of such rights or remedies or any other rights or remedies. A waiver on any one occasion shall not be construed as a bar or waiver of any other rights or remedies on future occasions.
18) Survival
The provisions of this Agreement relating to confidentiality, warranties, and indemnification shall survive any termination or expiration of this Agreement.
19) No Agency
Nothing in this Agreement shall be construed to constitute or appoint either party as the agent or representative of the other party for any purpose whatsoever, or to grant either party any right or authority to assume or create any obligation or responsibility, whether expressed or implied, for or on behalf of or in the name of the other, or to bind the other in any way or manner whatsoever.
20) Warranty Disclaimer
LBC Bank does not warrant merchantability or fitness for any purpose relating to this online download service, and any software or equipment herein provided.
